End User License Agreement

1. Definitions

"Software" means the XL2D application, including all files, libraries, updates, and documentation provided.

"Licensor" means Artisan Roofing Limited, a company registered in Scotland (SC252833).

"You" / "User" means the individual or entity that has obtained a license to use the Software.

"License Key" means the unique code provided to activate your licensed copy of the Software.

2. Grant of License

Subject to the terms of this Agreement and payment of applicable fees, Artisan Roofing Limited grants you a limited, non-exclusive, non-transferable license to:

• Install and use the Software on up to two (2) machines that you own or control
• Use the Software for personal or internal business purposes
• Create, save, and export drawings using the Software

3. License Types

Trial License:

• Free for 7 days
• Full feature access
• Exports include a watermark
• Limited to one trial per machine

Subscription License:

• Monthly recurring payment
• Full feature access without watermarks
• Use on up to 2 machines
• Valid while subscription is active
• Access to all updates released during subscription

4. Restrictions

You may NOT:

• Copy, modify, or distribute the Software except as expressly permitted
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices, labels, or marks
• Rent, lease, lend, sell, or sublicense the Software
• Share your License Key with others
• Use the Software to develop a competing product
• Circumvent or disable any security or copy protection features
• Use the Software for any unlawful purpose

5. Machine Activation

The Software uses online activation to verify your license. Each License Key may be activated on a maximum of two (2) machines simultaneously.

If you need to transfer your license to a different machine, you must first deactivate it from the current machine. If this is not possible (e.g., hardware failure), contact support@xl2d.art for assistance.

A unique machine identifier is generated based on hardware characteristics. This identifier is used solely for license enforcement and is not used to collect personal information.

6. Updates

The Licensor may release updates, patches, or new versions of the Software. While your subscription is active, you are entitled to receive and install these updates at no additional cost.

Updates are provided at the Licensor's sole discretion. We reserve the right to add, modify, or remove features in future versions.

7. Intellectual Property

The Software is protected by copyright and other intellectual property laws. Artisan Roofing Limited retains all right, title, and interest in the Software, including all copies, modifications, and derivative works.

Your Content: You retain all rights to drawings, designs, and other content you create using the Software. This Agreement does not transfer any ownership of your content to the Licensor.

8. Term and Termination

Trial License: Automatically terminates 7 days after activation.

Subscription License: Remains in effect while your subscription is active. Upon cancellation or non-payment, your license terminates at the end of the current billing period.

Termination for Breach: The Licensor may terminate your license immediately if you breach any term of this Agreement.

Upon termination, you must cease all use of the Software and delete all copies. The Software will continue to function in trial mode (with watermarks) after subscription termination, but you may not use the full features without a valid license.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED

The Software is currently in beta. You acknowledge that the Software may contain bugs, errors, and incomplete features.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• THE LICENSOR SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL
• THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Artisan Roofing Limited and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Software
• Your violation of this Agreement
• Your violation of any third-party rights

12. Export Compliance

You agree to comply with all applicable export laws and regulations. You may not export or re-export the Software to any country or person prohibited by applicable laws.

13. Governing Law

This Agreement is governed by the laws of Scotland. Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and Artisan Roofing Limited regarding the Software and supersedes all prior agreements, representations, and understandings.

15. Amendments

The Licensor may modify this Agreement at any time. Material changes will be notified via email or through the Software. Continued use of the Software after changes constitutes acceptance of the modified Agreement.

16. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
